End-User License Agreement — NRC Cockpit AP Rail

Effective date: August 5, 2026

1. Overview

This End-User License Agreement ("Agreement") governs use of NRC Cockpit AP Rail (the "Application"), a private internal software application developed and operated by No Repair Cost, Inc. ("Company," "we," "us").

The Application is not offered, sold, distributed, or made available to the general public. It is used solely by the Company and its authorized personnel to automate the Company's own accounts-payable operations within the Company's own accounting records.

2. License grant

The Company grants its authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes. No license is granted to any third party. The Application may not be copied, distributed, sublicensed, resold, or made available to any person outside the Company.

3. Permitted use

The Application is authorized to:

• Read and create vendor records in the Company's QuickBooks Online file;
• Create and manage vendor bills representing referral partner commissions and customer cancellation refunds;
• Read accounting data necessary to compute amounts owed and reconcile payments;
• Record payment status back against the Company's internal records.

4. Human approval requirement

The Application does not disburse funds autonomously. Every bill it creates requires explicit review and approval by an authorized officer of the Company before any payment is issued. The Application has no authority to release, transmit, or approve payment without that action.

5. Data handling

The Application accesses only the Company's own accounting data within the Company's own QuickBooks Online company file. It does not access, process, or store accounting data belonging to any other business or QuickBooks user.

Data accessed by the Application is used exclusively for the accounts-payable purposes described above. It is not sold, licensed, shared with advertisers, or disclosed to any third party except as required by law or as necessary to operate the Application (for example, Intuit as the platform provider).

Credentials are stored with restricted file permissions on Company-controlled infrastructure and are not embedded in source code or transmitted to unauthorized parties.

Taxpayer identification numbers collected for information-reporting purposes are stored securely, referenced internally by presence indicator only, and never written to application logs, reports, or diagnostic output.

6. Security

The Company maintains commercially reasonable administrative and technical safeguards appropriate to a private internal application, including restricted credential access, least-privilege API scoping, and audit logging of transactions the Application creates.

In the event of a security incident affecting data accessed through the Intuit Developer Platform, the Company will notify Intuit in accordance with the Intuit Developer Terms of Service and take prompt remedial action.

7. No warranty

The Application is provided to Company personnel on an "as is" basis, without warranties of any kind, express or implied. The Company disclaims all implied warranties including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Application.

9. Third-party platforms

The Application integrates with QuickBooks Online, a service of Intuit Inc. Use of QuickBooks Online is governed by Intuit's own terms and privacy policy. Intuit is not a party to this Agreement and bears no responsibility for the Application.

10. Term and termination

This Agreement remains in effect while the Application is in use. The Company may modify, suspend, or discontinue the Application at any time. Access may be revoked from any user at the Company's discretion.

11. Governing law

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
